The Ezi App is a mobile-based platform operated by Ezi Services Inc. ("Ezi Services Inc.", "the Company", "we", "us", or "our") that enables connections between Service Providers and Customers. "Customers" are individuals and/or businesses seeking to obtain short-term services ("Service Request") from Service Providers. "Service Providers" are businesses or independent contractors seeking to perform Service Requests for Customers. Customers and Service Providers are collectively referred to as "You" or "Users." As used in this Agreement, "ezi.services" and related web addresses shall refer to the online presence of Ezi Services Inc. and its subsidiaries and affiliates. These Terms do not alter the terms or conditions of any other agreement you may have with Ezi Services Inc. for other services.
Service Providers must review these Terms and the Privacy Policy to be well-informed about the rights and obligations of all Users.
By using any of the Services and the App, You expressly agree to be bound by these Terms and all applicable laws and regulations governing the App and the Services. These Terms form a legally binding agreement between you and Ezi Services Inc. concerning your use of the App and/or the Services and apply to all Users of the Services, whether registered or not.
Eligibility: You must be at least 18 years of age and legally capable of entering into binding contracts in your jurisdiction to use this Platform or enter into any Service Request. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to form a binding contract. If you are using the Platform on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
Modifications to Terms: Ezi Services Inc. reserves the right to modify or revise these Terms at any time. For material changes (including changes to fees, payment terms, dispute resolution, or liability), we will provide at least 30 days' advance notice by email to the address on your account and/or by prominent notice in the App. For non-material changes (e.g., typographical corrections, clarifications), changes may take effect immediately upon posting. Your continued use of the Platform after the effective date of any change constitutes your acceptance of the revised Terms. If you do not agree to any change, you must stop using the Platform and cancel your account before the effective date. Ezi Services Inc. may review and remove any User Content that, in its sole judgment, violates these Terms, applicable law, or the rights of others, and may expel Users who violate these Terms.
The Service Provider hereby agrees that the Ezi App shall be in active mode during the performance of the Service without any exceptions whatsoever.
Definitions
Account shall mean the account created by the User on the Application.
Booking shall mean the accepted and allotted Service Request.
Customer shall mean the person who places a Service Request on the Portal and has accepted the Portal's Terms of Use and Privacy Policy.
Applicable Laws shall include all relevant statutes, enactments, acts of legislature or parliament, provincial laws, ordinances, rules, by-laws, regulations, notifications, guidelines, policies, directions, directives and orders of any governmental authority, tribunal, or court of Canada, and the Province of Ontario.
App shall mean the mobile application 'Ezi App', as updated by Ezi Services Inc. from time to time.
Representative means Ezi Services Inc., its affiliates, and any director, officer, employee, consultant, contractor, agent, and attorney associated with Ezi Services Inc.
Content means report text, web chat, graphics, emojis, images, music, software, audio, video, information or other materials.
Ezi Services Inc. Content means all Content that Ezi Services Inc. makes available through the App, Application, Services, or its related promotional campaigns and official social media channels, including any Content licensed from a third party, but excluding Service Provider Content.
Collective Content means User Content and Ezi Services Inc. Content.
Scope of Service
The Ezi App platform allows Users who need help completing various Service Requests such as home cleaning, assembly, lawn care, moving, and other general services. Ezi Services Inc. is a passive marketplace platform that does not, under any circumstances, create an employment or other service relationship between Ezi Services Inc. and any Service Provider, nor does it create an employment relationship between a Customer and a Service Provider. Users do not have the authority to enter into written or oral contracts, whether implied or express, on behalf of Ezi Services Inc.
While using the Ezi App Platform, Customers, at their sole discretion, determine whether they will be present when a Service Request is performed. Customers who elect not to be present agree that any person who books the Service Request on their behalf or is present at the job site is appointed as the Customer's agent, and the Service Provider may take direction from that agent as if given directly by the Customer. Customer assumes full and sole responsibility for the acts and omissions of Customer's agents.
Although Ezi Services Inc. does not control a Service Provider's work product or behaviour, Service Providers are required, as a condition of platform access, to adhere to professional conduct standards including reliability, honesty, and good workmanship. Service Providers are not permitted to represent themselves as employees of Ezi Services Inc. Ezi Services Inc. is not responsible for delivering or completing any Service Request and shall not be liable for any acts or omissions of Service Providers or their personnel. Ezi Services Inc. does not endorse, validate, or verify any Service Provider's qualifications, skills, or licences. You are solely responsible for evaluating the suitability of any Service Provider before engaging them.
Account Registration
By creating an account, you agree to: (i) provide accurate, current, and complete account information; (ii) maintain the security of your password and not share it with any other person; (iii) accept all risks of unauthorized access to your account; and (iv) promptly notify Ezi Services Inc. if you discover or suspect any security breach related to your account.
You are responsible for ensuring that you download the correct application for your device. Ezi Services Inc. is not liable if you do not have a compatible mobile device or if you download the wrong application version. Ezi Services Inc. reserves the right to terminate the Service if you use it with an incompatible or unauthorized device.
You may only open one account associated with your registration data.
You acknowledge that Content you post may be viewed by other Users. Visitors may view limited non-private profile information such as Customer Reviews, Hourly Rate, Profile Picture, and other non-private data.
You agree that all information you provide to Ezi Services Inc. shall be true, correct, complete, and accurate at all times.
Users may be subject to a review process before and during their use of the Platform, including identity verification, right-to-work checks, criminal background checks, and use of third-party services as appropriate ("Background Checks"). Where conducted, Background Checks are performed to the extent permitted by applicable law. However, Ezi Services Inc. cannot guarantee the accuracy or completeness of background check results and does not assume any responsibility for their reliability. The existence of a Background Check does not constitute an endorsement or guarantee of any User's fitness, character, or suitability. Customers should exercise their own independent judgment before engaging any Service Provider.
Service Requests
On receipt of a Service Request, a Booking will be allotted to the Service Provider on the device or in such other manner as may be agreed between the Service Provider and Ezi Services Inc.
The Service Provider shall duly complete all Bookings allotted and promptly notify Ezi Services Inc. of any changes or deviations that may affect provision of the Service.
Once a Booking is allotted, Ezi Services Inc. will provide the Service Provider with necessary Customer information to enable satisfactory service delivery. Such information shall be treated as Confidential Information as defined below.
The Service Provider may check in up to fifteen (15) minutes before the scheduled start of an appointment.
If a Service Provider fails to arrive on time or is late by more than fifteen (15) minutes, Ezi Services Inc. reserves the right to suspend the Service Provider and withhold or recover up to 100% of the Service Request value from the Service Provider's earnings. The Service Provider may submit a written explanation within 48 hours, which Ezi Services Inc. will review in good faith. Either party may escalate unresolved disputes to arbitration under the Governing Law and Arbitration section below.
After the Service Provider's arrival, the Customer shall ensure commencement of the Service Request within fifteen (15) minutes. Failure to do so may result in a charge of up to 100% of the Service Request deposit, representing a pre-estimate of the loss suffered by the Service Provider.
The Customer shall deposit the estimated cost before selecting a Service Provider. If the actual cost exceeds the estimate, the Service Provider may request an extension. The Customer must accept or decline the extension within thirty (30) minutes. If the Customer does not respond within thirty (30) minutes, the job shall be deemed complete and the Customer will be charged the final amount. A payment processing fee may also apply.
Obligations of the Service Provider
The Service Provider shall ensure they understand the Customer's language and shall choose the appropriate language supported by the Ezi App.
Services provided through the Platform shall be of the highest industry-standard quality and shall comply with oral and written requirements communicated by the Customer and Ezi Services Inc. The Service Provider shall be liable for any loss caused to Ezi Services Inc. and/or the Customer due to the Service Provider's negligence in performing the Service.
The Service Provider shall deliver Services courteously, effectively, and on time, and shall not undertake or assist in any unlawful or illegal activity while performing Services.
The Service Provider understands that creating a 'business' on the Ezi App refers to a group of individuals and does not constitute legal business registration by Ezi Services Inc.
The Service Provider shall ensure the safety and security of the Customer and themselves at all times, and shall immediately bring to Ezi Services Inc.'s attention any deviation from service requirements, including accidents or damage to life or property.
The Service Provider agrees that any breach of these Terms is likely to cause Ezi Services Inc. substantial and irreparable damage. In addition to other available remedies, Ezi Services Inc. shall have the right to seek specific performance and injunctive relief.
The Service Provider shall maintain a functioning mobile number and the ability to receive text messages from Ezi Services Inc. regarding Customer details and feedback.
The Service Provider acknowledges that Ezi Services Inc. shall be responsible for mediating payment-related disputes between Customers and Service Providers. The Service Provider agrees to seek instructions from Ezi Services Inc. in the event of any payment conflict. Ezi Services Inc.'s initial determination shall be binding pending completion of the dispute resolution process set out in the Governing Law and Arbitration section. Either party may escalate to arbitration if they disagree with Ezi Services Inc.'s determination.
Cancellation of an allotted Booking is prohibited except in exceptional circumstances with a justifiable explanation. The Service Provider shall immediately inform Ezi Services Inc. of any cancellation. Such cancellation may lead to withholding of part or all of the Service Provider's proceeds for that Booking.
The Service Provider shall not: (a) engage in any conduct that damages the reputation of Ezi Services Inc.; or (b) be the cause of negative publicity for Ezi Services Inc.
Service Providers shall:
Behave respectfully to Customers at all times;
Identify yourself to the Customer upon arrival at a job site;
Arrive at the agreed time and no later than 30 minutes after the scheduled start;
Treat Customer property with respect, skill and care and leave the site in a neat condition; and
Carry out Services in a good, workmanlike, and professional manner consistent with reasonable industry standards. Any Services not performed to this standard shall be re-performed by the Service Provider at no cost to Ezi Services Inc. or the Customer.
Any serious complaint regarding a Service Provider may result in immediate account termination at Ezi Services Inc.'s sole discretion, with written notice provided to the Service Provider.
Subcontractors: Service Providers shall not engage subcontractors to perform any part of a Service Request. Ezi Services Inc. policies do not extend to subcontractors. The Service Provider is solely responsible for any assistance they retain.
Representations and Warranties of Users
When interacting with other Users, you should exercise caution and common sense to protect your safety, data, and property. Ezi Services Inc. will not be liable for any false or misleading statements made by Users of the Platform.
NEITHER EZI SERVICES INC., NOR ITS PARENTS, AFFILIATES, OR LICENSORS, INCLUDING THEIR RESPECTIVE DIRECTORS, OFFICERS, SHAREHOLDERS, AGENTS, INVESTORS, SUBSIDIARIES, ATTORNEYS, REPRESENTATIVES, INSURERS, EMPLOYEES, SUCCESSORS AND ASSIGNS (COLLECTIVELY, "AFFILIATES") IS RESPONSIBLE OR LIABLE FOR THE CONDUCT, ACTS, OR OMISSIONS, WHETHER ONLINE OR OFFLINE, OF ANY USER OF THE EZI APP PLATFORM AND, TO THE FULLEST EXTENT PERMITTED BY LAW, YOU HEREBY RELEASE EZI SERVICES INC. AND AFFILIATES FROM ANY AND ALL LIABILITY, CLAIMS, DEMANDS, OR DAMAGES OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, SUSPECTED AND UNSUSPECTED, DISCLOSED AND UNDISCLOSED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE EZI APP PLATFORM.
All Users represent and warrant that:
You will use your real name or business name and an up-to-date photo on your profile;
You will respect the privacy, property, and data protection rights of other Users and will not record any Service Request or interaction without prior written consent of Ezi Services Inc. and/or the relevant User;
You will fulfil the commitments you make to other Users, communicate clearly and promptly, and be present and/or available at the agreed time;
You will act professionally and responsibly in all interactions;
You have the right, authority, and legal capacity to enter into this Agreement and to abide by its terms;
You are at least 18 years of age and otherwise capable of entering into binding contracts;
When using or accessing the Platform, you will act in accordance with all applicable local, provincial, national, or international law;
You will not use the Platform for the purchase or delivery of alcohol or any controlled or illegal substances;
Where you enter into this Agreement on behalf of a company or other organization, you have the authority to act on behalf of that entity and to bind that entity to this Agreement; and
You do not have any motivation, status, or interest that Ezi Services Inc. may reasonably wish to know about in connection with the Platform, including use for journalistic, academic, investigative, or unauthorized purposes.
Service Providers additionally represent and warrant that:
You have the unrestricted right to work in the jurisdiction in which you will be performing Service Requests;
If your jurisdiction requires a business licence or tax registration, you hold the required documentation;
You are responsible for identifying and obtaining all required licences and permits;
You carry any insurance required to operate your business and provide your services;
You will not engage in pornographic, obscene, or escort services, or any services that would harm children or minors;
You will honour your commitments to other Users on the Platform, including responding to invitations promptly and providing timely, high-quality services; and
You will only offer and provide services for which you have the necessary skills and expertise, and you will do so safely and in accordance with all applicable laws.
The Platform may not be used (illustrative, not exhaustive) for any of the following purposes:
To impersonate another person or User or allow any other person to use your profile;
To publish, post, upload, distribute, or disseminate any profane, defamatory, infringing, obscene, or unlawful material;
To defame, abuse, harass, stalk, threaten, intimidate, misrepresent, or otherwise violate the rights of others;
To upload files containing software or material that violates intellectual property rights of any party; or
To advertise or offer to sell goods or services for any commercial purpose unrelated to Service Requests.
Payment
By posting a Service Request, the Customer agrees to pay the Service Request fee upon selecting a Service Provider. Payments are accepted by credit card, debit card, or via Stripe. The Service Request fee is exclusive of applicable taxes, which are solely the Customer's responsibility.
Ezi Services Inc. reserves the right to change Service Fees from time to time. Fee increases will be communicated with at least 30 days' advance notice by email and/or in-app notice before taking effect. Fee changes do not apply to Service Requests already accepted and in progress at the time of the notice. Non-fee adjustments may take effect upon posting.
Service Providers are not permitted to accept cash from Customers for any Service Request completed through the Platform. Customers should notify Ezi Services Inc. if any Service Provider requests cash payment. All Service Requests are handled as credit transactions, with the estimated cost pre-authorized at the time of booking.
Ezi Services Inc. reserves the right to withhold payments from Service Providers where there are active complaints or disputes. Ezi Services Inc. will mediate all disputes between Customers and Service Providers. Ezi Services Inc.'s initial determination shall be binding, subject to the right of either party to escalate to arbitration under the Governing Law and Arbitration section below. Service Providers are not permitted to contact Customers directly regarding a dispute.
Refunds
Subject to the Cancellations policy below, Service Request Bookings are considered final. In the event that a Customer is entitled to a refund, the following process applies:
Where a refund or chargeback arises, Ezi Services Inc. will review the circumstances. Where the Service Provider is found to be at fault (e.g., failure to perform, failure to meet quality standards, failure to appear), the refund or chargeback amount, including any processing fees charged by the payment processor, will be deducted from the Service Provider's earnings or recovered from the Service Provider. Where a chargeback is determined to be without merit or caused by Customer error, Ezi Services Inc. will bear the processing cost and represent the Service Provider's interest with the payment processor to the extent commercially reasonable. Ezi Services Inc.'s determination of fault shall be subject to the dispute escalation process set out in the Governing Law and Arbitration section.
Cancellations
The parties acknowledge that actual damages from a cancelled Service Request are difficult to calculate precisely, and that the following fees represent a genuine pre-estimate of the losses suffered by the Service Provider and Ezi Services Inc. as a result of a late cancellation, and are not a penalty. No cancellation fee will be charged where the cancellation results directly from a Service Provider failure to appear or an Ezi Services Inc. system error.
No fee if the Customer cancels more than 24 hours before the scheduled start time.
A 20% cancellation fee on the Service Request Fee Deposit if the Customer cancels within 24 hours of the scheduled start time.
A 50% cancellation fee on the Service Request Fee Deposit if the Customer cancels between 2 and 6 hours before the scheduled start time.
A 100% cancellation fee on the Service Request Fee Deposit if the Customer cancels within 2 hours of the scheduled start time.
Re-scheduling
The parties acknowledge that the following re-scheduling fees represent a genuine pre-estimate of losses arising from late changes and are not a penalty. No re-scheduling fee will be charged where re-scheduling is necessitated by a Service Provider failure or an Ezi Services Inc. system error.
No fee if the Customer reschedules more than 24 hours before the scheduled start time.
A 20% re-scheduling fee on the Service Request Fee Deposit if the Customer reschedules within 24 hours of the scheduled start time.
A 50% re-scheduling fee on the Service Request Fee Deposit if the Customer reschedules between 2 and 6 hours before the scheduled start time.
A 100% re-scheduling fee on the Service Request Fee Deposit if the Customer reschedules within 2 hours of the scheduled start time.
Confidentiality
"Confidential Information" means any of Ezi Services Inc.'s trade secrets, confidential and proprietary information, and all other information and data of Ezi Services Inc. that is not generally known to the public or to third parties who could derive economic or other value from its use or disclosure. Confidential Information shall include technical data, know-how, research, product plans, products, services, customer information, markets, software, developments, inventions, processes, formulas, technology, designs, financial information, strategic information, and all other proprietary information relating to Ezi Services Inc. or its business, whether disclosed orally, in writing, or by any other means.
The Service Provider acknowledges that in connection with this Agreement they will have access to Confidential Information. The Service Provider undertakes to keep all such information strictly confidential and shall not disclose it to any third party. Confidential Information shall include all User details, personal information as defined under PIPEDA, phone numbers, market information, work products, and all App/Portal contents, whether provided orally or in writing.
Confidential Information shall not be disclosed to any party engaged in the same or similar business as Ezi Services Inc. (a "Competitor"). If Ezi Services Inc. becomes aware that Confidential Information has been disclosed to a Competitor or used for a Competitor's benefit, Ezi Services Inc. may seek all direct and indirect damages arising from such disclosure.
Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Ezi Services Inc. and its officers, directors, employees, contractors, agents, licensors, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable legal fees) arising out of or relating to:
Your breach or alleged breach of any obligation, representation, or warranty under these Terms;
Your use or misuse of the Platform or Services;
Any Service Request you post, accept, perform, or fail to perform;
Your violation of any applicable law, rule, or regulation;
Any infringement or unauthorized use of the intellectual property rights of Ezi Services Inc. or any third party by you;
Any harm caused by you to a Customer, Service Provider, or third party in connection with a Service Request;
Any breach of your confidentiality obligations under these Terms; and
Any claim by a third party arising from your conduct on or through the Platform.
Ezi Services Inc. reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with Ezi Services Inc. in asserting any available defenses.
Termination
Either party may terminate their account at any time. You may close your account by following the in-app instructions or contacting support.
Ezi Services Inc. may suspend or terminate your account, with or without notice, for: (a) breach of these Terms; (b) illegal activity; (c) conduct that harms other Users, third parties, or Ezi Services Inc.; (d) extended account inactivity; or (e) any other reason at Ezi Services Inc.'s sole discretion where it determines that access to the Platform is no longer appropriate.
Upon termination:
All pending Bookings will be cancelled and affected Users notified;
Outstanding earnings owed to Service Providers will be paid within 30 days of termination, less any amounts withheld due to active disputes, chargebacks, or penalties;
You immediately lose the right to access or use the Platform; and
You may request deletion of your personal data in accordance with our Privacy Policy.
The following sections survive termination of your account or these Terms: Confidentiality, Indemnification, Limitation of Liability, Disclaimer of Warranties, Intellectual Property, Governing Law and Arbitration, and all provisions that by their nature should survive.
Data Breach Notification
In the event of a security breach involving your personal information that creates a real risk of significant harm to you, Ezi Services Inc. will notify you as required by applicable Canadian privacy law, including the Breach of Security Safeguards Regulations under PIPEDA, by email to the address on your account within the timeframe prescribed by law. We will also notify the Office of the Privacy Commissioner of Canada and other applicable regulatory authorities as required. You are encouraged to use a current and regularly monitored email address for your account.
Relationship between Service Provider and Ezi Services Inc.
During the term of this Agreement, the Service Provider operates as and has the status of an independent contractor and shall not act as, be, or be construed to be an agent or employee of Ezi Services Inc. The relationship between the parties is on a principal-to-principal basis. No provision of this Agreement creates an employment relationship between the Service Provider and Ezi Services Inc. under any circumstances or for any purpose. The Service Provider is not entitled to any employee benefits, statutory or otherwise, from Ezi Services Inc. The Service Provider is solely responsible for all applicable taxes, Employment Insurance, statutory remittances, and other obligations of an independent contractor.
If you determine that working conditions are unsafe, you should notify Ezi Services Inc. and may withdraw from the situation without breaching this Agreement. You are responsible for your own safety.
The Service Provider shall not assume or create any obligation on behalf of or in the name of Ezi Services Inc. Any act of the Service Provider purporting to bind Ezi Services Inc. beyond the scope of this Agreement is unauthorized, unlawful, and the Service Provider's sole personal responsibility.
USERS HEREBY ACKNOWLEDGE THAT EZI SERVICES INC. DOES NOT SUPERVISE, SCOPE, DIRECT, CONTROL, OR MONITOR A SERVICE PROVIDER'S WORK AND EXPRESSLY DISCLAIMS, TO THE FULLEST EXTENT PERMITTED BY LAW, ANY RESPONSIBILITY AND LIABILITY FOR THE WORK PERFORMED AND THE SERVICE REQUESTS IN ANY MANNER, INCLUDING BUT NOT LIMITED TO ANY WARRANTY OR CONDITION OF GOOD AND WORKMANLIKE SERVICES, WARRANTY OR CONDITION OF QUALITY OR FITNESS FOR A PARTICULAR PURPOSE, OR COMPLIANCE WITH ANY LAW, STATUTE, ORDINANCE, REGULATION, OR CODE.
Any reference on the Ezi App Platform to a Service Provider being "licensed," "credentialed," "badged," "reliable," "elite," "background checked," "vetted," or similar language indicates only that the Service Provider has completed a relevant account process or met certain criteria and does not constitute an endorsement, certification, or guarantee by Ezi Services Inc. of such Service Provider's skills, qualifications, trustworthiness, safety, or suitability.
Electronic Communications
By creating an account, you consent to receive electronic communications from Ezi Services Inc., including by email, phone calls, push notifications, and SMS text messages. Transactional and service-related messages (such as booking confirmations, receipts, and account notices) are required service communications sent without additional consent.
Commercial messages (including promotions and newsletters) are sent only with your express consent as required by Canada's Anti-Spam Legislation (CASL) as amended from time to time. You may withdraw consent to commercial messages at any time by clicking 'unsubscribe' in any commercial email or by adjusting your account notification preferences. Withdrawal of consent to commercial messages does not affect delivery of transactional messages.
You agree that all agreements, notices, disclosures, and other communications Ezi Services Inc. provides to you electronically satisfy any legal requirement that such communications be in writing.
Use of the Services
Except as otherwise agreed in writing, Ezi Services Inc. grants you a limited, nonexclusive, non-sublicensable, revocable licence to access and use the Platform solely for your personal, non-commercial use in connection with Service Requests. You will not use, copy, adapt, modify, decompile, reverse engineer, disassemble, decrypt, or attempt to derive source code from the Platform. You will not distribute, licence, sell, rent, transfer, publicly display, or otherwise exploit the Platform and Content except as expressly permitted by Ezi Services Inc. Any unauthorized use immediately terminates the licence granted in these Terms. No licences or rights are granted by implication or otherwise except those expressly stated.
Ezi Services Inc. will not be liable for any inaccuracy of information on its App. It is the User's responsibility to independently verify information on the App.
Third-Party App / Website Links, Content and Services
The App may contain links to third-party websites or applications ('Third Party Apps'), including third-party payment processors. Ezi Services Inc. makes no representation or guarantee as to the accuracy, authenticity, or content of any Third Party App. Your use of any Third Party App is entirely at your own risk and subject to that Third Party App's terms and policies. Ezi Services Inc. disclaims all liability in connection with Third Party Apps.
Third-party services integrated into the Platform (such as Stripe, Amplitude, Google Analytics, and Firebase) process data under their own privacy policies. We select partners who meet our data protection standards; however, Ezi Services Inc. is not responsible for their independent data practices. Ownership and Intellectual Property
The Ezi App and all content forming part of it — including, without limitation, all photographs, ideas, images, designs, information, interfaces, text, graphics, brand names, logos, and trademarks — are protected by Canadian copyright, trademark, and other intellectual property laws and are the exclusive property of Ezi Services Inc. or its licensors.
You acknowledge and agree that Ezi Services Inc. owns, controls, or is licensed to all legal rights, title, and interests in and to the App and all intellectual property rights therein. You may not: (a) modify or copy the trade layout, appearance, or design of the App or any software or code contained therein; or (b) decompile, disassemble, reverse engineer, or otherwise attempt to discover any source code related to the App.

Reliance on Information Posted
Information presented on or through the App is made available solely for general purposes. Ezi Services Inc. does not warrant its accuracy, completeness, or usefulness. Any reliance you place on such information is strictly at your own risk. Ezi Services Inc. disclaims all liability arising from any reliance placed on such materials by you or any other visitor to the App.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EZI SERVICES INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND AFFILIATES SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM: (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICES; (III) UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY PERSONAL OR FINANCIAL INFORMATION STORED THEREIN; (IV) INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES; (V) BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY; OR (VI) ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT EZI SERVICES INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ALL CASES, EZI SERVICES INC.'S MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO EZI SERVICES INC. IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS ($100 CAD).
YOU SPECIFICALLY ACKNOWLEDGE THAT EZI SERVICES INC. SHALL NOT BE LIABLE FOR THE CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, IN SUCH JURISDICTIONS OUR LIABILITY IS LIMITED TO THE EXTENT PERMITTED BY APPLICABLE LAW.
ANY CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, AFTER WHICH SUCH CLAIM IS PERMANENTLY BARRED.

YOUR USE OF THE APP, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE APP IS ENTIRELY AT YOUR OWN RISK. THE APP, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE APP ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EZI SERVICES INC. AND ALL PERSONS ASSOCIATED WITH EZI SERVICES INC. EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR COURSE OF PERFORMANCE.
EZI SERVICES INC. MAKES NO WARRANTY OR REPRESENTATION THAT: (A) THE APP WILL MEET YOUR REQUIREMENTS; (B) THE APP WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS; (C) THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE APP WILL BE ACCURATE OR RELIABLE; (D) THE QUALITY OF ANY SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE APP WILL MEET YOUR EXPECTATIONS; OR (E) ANY ERRORS IN THE APP WILL BE CORRECTED.

DOES NOT WARRANT OR ENDORSE AND IS NOT RESPONSIBLE FOR THE STATEMENTS, REPRESENTATIONS, ADVERTISING, PRODUCTS, SERVICES, OR CONDUCT (WHETHER ONLINE OR OFFLINE) OF ANY SERVICE PROVIDER, CUSTOMER, OR OTHER THIRD PARTY. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
Entire Agreement / Severability
These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and Ezi Services Inc. concerning your use of the App and/or the Services and supersede all prior representations, inducements, or agreements relating to their subject matter. If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision shall be construed as narrowly as possible to give effect to the original intentions of the parties, and the remaining provisions shall remain in full force and effect. These Terms cannot be changed or terminated orally.
Assignment
You may not assign these Terms or any of the rights granted hereunder without the prior written consent of Ezi Services Inc., and any attempted assignment without such consent shall be void. Ezi Services Inc. may assign these Terms or any of its rights or obligations hereunder in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, upon 30 days' written notice to you. Subject to the foregoing, these Terms will be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
Non-Waiver
Failure by either Ezi Services Inc. or You to exercise or enforce any right under these Terms shall not be deemed to be a waiver of any such right nor operate so as to bar that exercise or enforcement thereof or of any other right on any later occasion.
Force Majeure
Ezi Services Inc. shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including without limitation: acts of God, war, terrorism, civil unrest, embargoes, acts of civil or military authorities, fire, floods, natural disasters, epidemics, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labour, or materials. Ezi Services Inc. will use commercially reasonable efforts to resume performance as soon as reasonably practicable.
Governing Law and Arbitration
This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
You agree that the exclusive jurisdiction for any court proceedings (where permitted) shall be the courts of Ottawa, Ontario, and you hereby submit to the personal and exclusive jurisdiction of such courts for such purposes.
Mandatory Arbitration: EXCEPT AS PROVIDED BELOW, ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT, OR THE BREACH, TERMINATION, OR VALIDITY THEREOF, SHALL BE FINALLY RESOLVED BY BINDING ARBITRATION ADMINISTERED BY ADR CHAMBERS (OR SUCH OTHER NATIONALLY RECOGNIZED ARBITRATION BODY AS EZI SERVICES INC. MAY DESIGNATE WITH REASONABLE NOTICE) UNDER ITS APPLICABLE ARBITRATION RULES. THE SEAT OF ARBITRATION SHALL BE OTTAWA, ONTARIO. THE NUMBER OF ARBITRATORS SHALL BE ONE (1) FOR CLAIMS UNDER $100,000 CAD AND THREE (3) FOR CLAIMS EQUAL TO OR EXCEEDING $100,000 CAD. THE LANGUAGE OF THE ARBITRATION SHALL BE ENGLISH.
Costs: Each party shall bear its own legal costs and expenses in connection with arbitration. Arbitrator fees shall be split equally between the parties unless the arbitrator orders otherwise on grounds of fairness.
Time Limit for Claims: Any claim or cause of action arising out of or related to this Agreement or the Platform must be filed within one (1) year after the cause of action arose, or such claim is permanently barred.
Class Action Waiver: EACH PARTY AGREES TO BRING ANY CLAIM ARISING OUT OF OR RELATED TO THIS AGREEMENT ONLY IN THEIR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.
Exceptions: Either party may seek interim or emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of copyright, trademark, trade secrets, patents, or other intellectual property or proprietary rights. Filing such a court action shall not be deemed a waiver of the right to arbitrate.
Discovery: Each party may (a) request relevant, non-privileged documents from the other party and (b) request particulars of claims or defences. Discovery requests must be served within 10 days after appointment of the arbitrator. Responses are due within 15 days of receipt. Disputes about discovery shall be submitted promptly to the arbitrator for resolution.
Communications with the Arbitrator: All communications with the arbitrator must include both parties. Ex parte communications with the arbitrator are not permitted.
Confidentiality of Arbitration: Upon either party's request, the arbitrator shall issue an order requiring that confidential information disclosed during arbitration not be used or disclosed except in connection with the arbitration or a proceeding to enforce the award.
